This Privacy Policy (this “Privacy Policy”) informs you (or the entity on whose behalf you are using this Service) (“You” or as the context requires “Your”) what personal information IPClinical, (“IPClinical,” “we,” or “us”) may collect and how IPClinical uses such information. This Privacy Policy is a part of and incorporated into the Terms of Use Agreement (“Terms of Use”) posted to the applicable to the IPClinical website (“Site”) and any Terms and Conditions (“Terms and Conditions”) of IPClinical software provided at such Site (“Software”) (collectively, the applicable “Site” and “Software” are referred to herein as “Services”). Any terms capitalized herein but not defined shall have the meanings assigned to such terms in the applicable Terms of Use or Terms and Conditions. By visiting or using the Services, you agree to accept the practices described in this Privacy Policy. If You do not agree to the terms of this Privacy Policy, please do not use the Services. Please note that some privacy rights and obligations may differ in certain locations based on local law, in which case IPClinical will comply with the local legal requirements.

IPClinical reserves the right, at any time, to modify this Privacy Policy. If we make revisions that change the way we collect, use, or share Personal Information, we will post those changes in this Privacy Policy. If we make material changes to our Privacy Policy, we may also notify You by other means prior to the changes taking effect, such as by posting a notice on our Site or sending You a notification. You should review this Privacy Policy periodically so that You keep up to date on our most current policies and practices. IPClinical will note the effective date of the latest version of our Privacy Policy at the end of this Privacy Policy.

Personal Information Collected by the Services:
IPClinical uses information collected from users of the Services to personalize and improve Your visit and experience at the Site and for other purposes set out below. IPClinical gathers information in the following ways:

Information You Give to IPClinical:
Through a user’s interactions with the Services, IPClinical collects “Personal Information,” which is information that identifies an individual or relates to an identified individual. Personal Information includes any information You have provided in connection with Your use of the Services. Personal Information is collected when You establish an account with IPClinical, or when You communicate with IPClinical about the Site.
“Sensitive Personal Information” refers to Personal Information regarding more sensitive areas, such as Your government ID and certain other medical or health information, financial information, gender, marriage status, race/ethnicity, or veteran or disability status.

Advertisement:
IPClinical (or service providers on IPClinical’s behalf) may collect information from visits to the Site through the use of “Social Media Platforms.” Social Media are elements which may employ lead generations & conversions technology that enable IPClinical to record data about visits to or transactions made on the Site. This information is sometimes known as “Lead or Conversion Data” IPClinical may use this data to analyze trends and statistics to improve Your online experience or our customer service. In some campaigns Personal Information is collected through the use of Social Media Platforms on the Site.

Cookies:
Through the use of cookies, we may also collect and analyze the IP address used to connect Your computer to the Internet; computer and connection information such as Your browser type and version; operating system and platform; purchase history; confirmation when You open email that we send You; and the URLs which lead You to and around the website including the date and time. Software is also available from third parties which will allow You to visit the website without providing this information.
We may use third-party web analytics services (such as those of Google Analytics) on our Services to collect and analyze usage information through cookies and similar tools; engage in activities such as auditing, research, or reporting; and provide certain features to You. To prevent Google Analytics from using Your information for analytics.

Information Received on Your Behalf:
You may authorize us to obtain information, on Your behalf, from other third-party sources. For example, if You submit claims to the Centers for Medicare and Medicaid Services (“CMS”) You may decide to authorize us to obtain information directly from CMS. If You authorize us to collect information from a third party, or if You authorize a third party to send us information, and You later decide that You no longer want us to collect that information, you may need to go to the third party source directly and ask that they stop transmitting information to us.

Information Received as a Business Associate:
Upon Your request or with your consent, your healthcare provider may share information about You, including Your Personal Information, with IPClinical. IPClinical shall only use such information as a “business associate” of a “covered entity” in accordance with any instructions or restrictions provided to IPClinical by Your healthcare provider. With regard to such information, IPClinical shall comply with the applicable provisions of Health Insurance Portability and Accountability Act and the regulations promulgated thereunder, and the Health Information Technology for Economic and Clinical Health Act and any regulations promulgated thereunder, to the extent such privacy laws are applicable to business associates.

Use of Information Collected by IPClinical:
IPClinical uses the Personal Information collected in an effort to improve Your experience with the Services, to provide services to You and to communicate with You about information that You request. IPClinical may also use Personal Information to help target specific offers to You and to help IPClinical develop and improve its Services. Additionally, IPClinical may use Your Personal Information to:

Respond to user service requests.
Administer user accounts
Provide service to our clients, which may include healthcare providers.
Respond to your questions and concerns.
To communicate with users about our products, services, and related issues.
To administer fees and provide users with invoices or resolve billing issues.
Conduct research and analysis.

Sharing of Information with Third Parties:
IPClinical will not rent, sell or otherwise disclose Your Personal Information to unrelated third parties without Your consent, except as stated in this Privacy Policy:

IPClinical may disclose Personal Information to its parent, subsidiary, affiliates, and other related companies without Your consent.
IPClinical may disclose Personal Information to service providers for the purposes of operating our business, delivering, improving, and customizing our products or services, sending marketing and communications related to our business, payment processing, and for other legitimate purposes permitted by applicable law. IPClinical may disclose Personal Information, including Sensitive Personal Information, to IPClinical’s clients, which may include healthcare providers.
To the extent permitted by law, IPClinical will disclose Personal Information to government authorities or third parties pursuant to a legal request, subpoena, or other legal process. IPClinical may also use or disclose Your Personal Information as permitted by law to perform charge verifications, apply or enforce the Service’s Terms of Use or Terms and Conditions, or protect IPClinical’s rights, interests, or property as well as those of IPClinical affiliates, customers, or Service users
If IPClinical sells all or part of its business or makes a sale or transfer of assets or is otherwise involved in a merger or business transfer, You agree that IPClinical may transfer Your Personal Information to a third party as part of that transaction.
Security of Personal Information:
IPClinical has reasonable and appropriate safeguards in place to help protect the Personal Information IPClinical collects from loss, misuse, and unauthorized access, disclosure, alteration, and destruction. Although IPClinical attempts to protect the Personal Information in our possession, no security system is perfect, and IPClinical cannot promise that Your Personal Information will remain absolutely secure in all circumstances.

Data Integrity and Purpose Limitation:
IPClinical limits the use of Personal Information to ways that are compatible and relevant to the purposes for which the Personal Information was collected or subsequently authorized or for which consent was obtained. IPClinical will take reasonable steps to ensure that Personal Information is reliable for its intended use, accurate, complete, and current.

Retention of Personal Information:
IPClinical will retain Your Personal Information as needed to fulfill the purposes for which it was collected. IPClinical will retain and use Your Personal Information as necessary to comply with IPClinical’s business requirements, legal obligations, resolve disputes, protect our assets, and enforce our agreements.

Aggregated De-Identified Information:
IPClinical may provide aggregated information related to Your Personal Information to some of IPClinical’s business partners. This information is used in a collective manner and does not identify You individually in any way. In addition, as set forth in the Terms of Use and/or Terms and Conditions for the Services, IPClinical may, subject to the limitations set out in the Terms of Use or Terms and Conditions, use certain de-identified PHI.

Links to Third Party Websites:
The Site may contain certain links to third party websites. IPClinical is not responsible or liable for the privacy practices or content found on these websites. You should check the privacy notice and policies of each website You visit. Links to third party sites are provided solely for Your convenience and any use or submission of data to such sites shall be at Your sole risk.

Cross-Border Transfer of Personal Information:
IPClinical may transfer Your Personal Information to IPClinical’s entity in the United States, to any IPClinical subsidiary or affiliate, or to third parties as described above that are located in various countries around the world. By using IPClinical’s Services, or providing any Personal Information to IPClinical, where applicable law permits, You consent to the transfer, processing, and storage or such information outside of Your country of residence where data protection standards may be different. When IPClinical collects information in one country, and transfers it to another, to the extent possible it applies the same level of data protection required under the laws in the first country even when the data is in the second country.
IPClinical safeguards and enables the global transfer of Personal Information in a number of ways. The following describes some of the protections that are taken with regard to data originating from certain countries:

Right to Access and Correct Personal Information:
IPClinical strives to make sure that our information is reliable, accurate, and up-to-date. While Personal Information is maintained by IPClinical, You may access the Personal Information that IPClinical has collected directly from You to the extent required by law to review, update, and correct inaccuracies. Upon request made to the contact listed below under the section titled “Contact Information,” IPClinical will provide You with reasonable access to the Personal Information IPClinical has collected from You, or will forward your request to the health care provider that has contracted with IPClinical to provide you with Services.
Because Personal information—for example, your email address—is required to use the Site, we retain certain Personal Information as long as your account is active. You will have the opportunity to correct, transfer, update, modify, or delete this information by logging into Your account and updating Your Personal Information online or contacting IPClinical at the address listed below under the section titled “Contact Information.” In some situations, we may forward your request to correct, transfer, update, modify or delete your information to the health care provider that has contracted with IPClinical to provide you with Services. You may also limit the use and disclosure of Your Personal Information by either unsubscribing from marketing communications or contacting IPClinical at the address listed below under the section titled “Contact Information.” Additionally, there may be limits to the amount of information IPClinical can practically provide. For example, we may limit access to Personal Information where the burden or expense of providing access would be disproportionate to the risks to an individual’s privacy or where doing so would violate others’ rights.
Regardless of the above, however, and except as required by applicable law, IPClinical does not provide You with access to patient records and will recommend that You directly contact Your healthcare provider to obtain a copy of Your patient records.

Advertising and Third-Party Data Collection
We may enter into relationships with third-party advertising companies to drive traffic to and serve ads on our Sites. These third-party companies may also collect information through the use of their own cookies and other technology (including pixels, lead generation & tracking) to measure the effectiveness of their ads and to personalize advertising content. We do not have access to or control over cookies or other features used by these advertisers, and their information practices are not covered by this Privacy Policy. Notice Concerning Do Not Track
Do Not Track (“DNT”) is a privacy preference that users can set in certain web browsers. We are committed to providing You with meaningful choices about the information collected on our website for third-party purposes, and that is why we provide the variety of opt-out mechanisms listed above.

Sharing of Information with Third Parties
IPClinical does not generally sell information as the term “sell” is traditionally understood. To the extent “sale” under the CCPA is interpreted to include advertising technology activities such as those disclosed in the Advertisement and Cookie sections of this Privacy Policy as a “sale,” we will comply with applicable law, including the CCPA, as to such activity. We may disclose Your CCPA Personal Information to third parties for commercial or business purposes, such as our affiliates; our service providers; other medical providers, third party payers, and patients; government authorities; third parties for provide the services for which you have contracted; third parties to whom you or your agents authorize us to disclose your Personal Information or to which we must provide your Personal Information to provide services to you, such as health care clearinghouses; and third parties to comply with applicable law, such as law enforcement.
In the preceding 12 months, we have disclosed the following categories of CCPA Personal Information to the preceding categories of third parties: identifiers and personal information; characteristics of protected classifications under California or federal law (for user of our Conference Events app); commercial information; biometric information (for users who have biometric authentication as part of the Services); Internet or other similar network activity; geolocation data (for users of our Conference Events app); sensory data; professional or employment-related information; and inferences that we draw from Your CCPA Personal Information to create a profile about Your preferences. We also disclose other information voluntarily and incidentally disclosed by You through Your interactions with IPClinical that falls under one of the enumerated categories above.
In the preceding 12 months, third parties have that have advertising technology activities on IPClinical websites such as those disclosed in the Web Beacon and Cookie sections have received the following categories of CCPA Personal Information: identifiers and personal information, and inferences that we draw from Your CCPA Personal Information to create a profile about Your preferences.
We do not knowingly disclose or sell Personal Information of minors under 16 years of age to third parties.

Data Subject Rights
As a California resident, You have the right to:

Request additional disclosures about the CCPA Personal Information we collect, use, disclose and sell;
Request information regarding and deletion of Your CCPA Personal Information;
Opt-out of the sale of CCPA Personal Information if IPClinical were to sell CCPA Personal Information; and
Obtain a copy of Your CCPA Personal Information. IPClinical will not discriminate against You for exercising any of these rights, for example, by charging a different price or denying goods or services. However, IPClinical may charge a different price or rate or provide a different level or quality of goods or services when that difference is reasonably related to the value provided to us by the data.
You may also limit the use and disclosure of Your CCPA Personal Information by either unsubscribing from marketing communications or contacting IPClinical at the address listed below under the section titled “Contact Information.”

Roles
If You are a California resident and we, as a service provider, have processed personal information about You on behalf of our customers and You wish to exercise your CCPA rights, please inquire with our customer directly. If You wish to make your request directly to us, please provide the name of our customer on whose behalf we processed Your personal information. We will refer your request to that client and will support them to the extent required by California privacy law in responding to Your request

Governing Law
This Notice will be subject exclusively to the laws of the State of California within the United States of America. We make no representation that this Notice and such practices comply with the laws of any other country. Visitors who use this Site and reside outside the United States do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. If You reside outside of the United States, by using our Site, You consent to the transfer and use of Your information outside Your country.
